Terms of Service

1. Who we are and what these terms cover

VERYX is an AI Infrastructure Operating System operated by JNN Global Ltd (trading as “VERYX”, part of Groupe Nseya Digital). These terms form the agreement between the subscribing organisation (“you”, the “Customer”) and JNN Global Ltd (“we”, “us”) for access to and use of the platform, its command centres, AI agents and APIs.

By creating an enterprise workspace, accepting an invitation, or using the platform, you agree to these terms on behalf of your organisation.

2. Accounts and identities

One human equals one identity. Accounts are named, personal and may not be shared. Your Enterprise Admin controls who is invited, what role each person holds and when access ends. You are responsible for the actions taken under your organisation’s identities and for keeping credentials confidential.

We enforce least-privilege access: every user sees only the modules and data their assigned role requires.

3. Subscriptions and AI metering

Subscription plans (Solo, Team, Business, Enterprise, Sovereign) buy access, identities and governance — never AI. AI usage is metered in ACUs against a prepaid wallet and billed at a fixed multiplier of raw provider cost. The multiplier policy is uniform, contractual and not negotiable or overrideable at any customer level.

Prices are set in pounds sterling (GBP). Amounts shown in other currencies are indicative conversions for convenience.

4. Billing, payment and suspension

Each billing period produces one bill: the subscription fee plus metered AI usage. Bills are due 14 days after issue. Past-due accounts enter Payment Overdue status; an account with a bill unpaid for 26 days is suspended automatically — sign-in is blocked until payment is received, after which the workspace reactivates. Data is never deleted because of suspension.

5. Your data

You own your data. We process it only to provide the service, as described in the Privacy Policy and AI Usage & Data Policy. Workspaces are strictly isolated: your data, AI memory and audit history are never visible to another customer, and platform operators do not access tenant business data except under audit-privileged controls.

6. AI outputs

AI outputs are decision support, not professional advice. Outputs may be incomplete or incorrect and must be reviewed by a qualified person before being relied upon, particularly for financial, legal, safety or regulatory decisions. High-impact AI actions always require explicit human approval before execution.

7. Acceptable use, availability and liability

Use of the platform is subject to the Acceptable Use Policy. Service levels and credits are described in the Service Level Agreement.

To the maximum extent permitted by law, our total aggregate liability in any 12-month period is limited to the fees you paid for the platform in that period. Nothing in these terms excludes liability that cannot be excluded by law, including for fraud or for death or personal injury caused by negligence.

8. Termination and lifecycle

You may terminate at the end of any billing period. We may suspend or terminate for material breach, non-payment (as above) or unlawful use. On termination the workspace follows the published lifecycle: data is retained in archived form for a reasonable export window before deletion, and audit records are preserved as required by law.

9. General

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. We may update these terms with reasonable notice; continued use after the effective date constitutes acceptance.
